roles and responsibilities prescribed in the Company%u2019s Article of Association, the Charter of Nomination and Remuneration Committee, and the matters as assigned by the Board of Directors. The meeting report is regularly proposed for the Board of Directors%u2019 acknowledgement, the details of which can be summarized as follows: NominationThe NRC nominated and selected persons, who were qualified based on related laws and the Company%u2019s Article of Association, by considering the appropriateness of knowledge, competency, experience, virtue and ethics, diversity of Board%u2019s composition (Board Skill Matrix), in order to align with the Company%u2019s business strategy, and proposed to the Board of Directors%u2019 or Shareholders%u2019 Meeting (as the case may be) for consideration and approval on the appointment of the Board of Directors and members of the subcommittees. In 2024, there were 5 Directors who retired by rotation, and no directors requested to not renew their terms. The NRC, therefore, considered the qualifications of the persons who would be appointed as replacement directors, and the Annual General Meeting of Shareholders No. 12/2024 considered approving the reappointment of 5 directors for another term.
